Board of Director Selection Criteria
In alignment with the bylaws of STEM Heads, the Board of Directors is responsible for evaluating and selecting candidates for election based on the following criteria.
Each Director should possess the skills, experience, and characteristics necessary to ensure all positions are filled by qualified independent individuals. Specifically, candidates should:
Demonstrate the highest integrity, an inquisitive nature, and a willingness to ask challenging questions while collaborating effectively with others.
Be free from any conflicts of interest that could violate laws or impede the responsibilities of a director.
Be willing and able to commit sufficient time to the corporation's affairs and diligently fulfill the responsibilities associated with being a director and Board committee member.
Have the capacity and desire to represent the best interests of the broader community.
Additionally, the Board may develop specific criteria reflecting the skills, expertise, backgrounds, and characteristics needed to enhance effectiveness. These criteria will consider the corporation's evolving needs based on its business, size, growth objectives, and community dynamics.
The Board will evaluate all new director candidates, as well as incumbents, to ensure alignment with the general criteria and to assess their potential contribution to specific needs. The aim is to identify candidates who will strengthen the Board and address any perceived gaps in meeting established criteria.
